OPERATION RULES OF MIAKET APPLICATION

Miaket  e-commerce platform application (referred to as " Miaket Application ") is developed and operated by Meerkat Technology Joint Stock Company (hereinafter referred to as “Company"). Miaket application is a mobile application that aims to connect the community in the area through exchanging, buying and selling second-hand goods and sharing information. Miaket App acts as an intermediary to connect the Members within a selected radius.

Miaket application's mission is to become a reliable and secure platform to share information and connect Buyers and Sellers, service users and service providers, thereby creating local communities to share, care and help each other.

I. Definition
1.1. “ Seller ” means individuals who register for an account on the Miaket Application to introduce their products and services, in order to buy, sell and exchange with people wishing to buy products or services.

1.2.  “ Stores ” are specialized stores set up by the Seller in the “Near Me” section of the Miaket Application to buy and sell, provide specific products, or services. The Store allows the Seller to issue coupons or other incentives for Buyers, to post articles to introduce and provide information about the products and services they are trading.

1.3. “ Buyers ” are individuals who register an account on the Miaket Application to search for information about products and services listed for sale on the Miaket Application.

1.4. “ Members ” include Sellers and Buyers, registered as members of the Miaket App, officially recognized by the Miaket App and authorized to use the services offered by the App. Members are responsible for complying with this Code and other rules and policies of the Miaket App.

II. General principles
2.1.      Individuals participating in transactions, buying and selling products at Miaket Application are free to negotiate on the basis of respecting the legitimate rights and interests of the parties, not contrary to the provisions of law.

2.2. Information about individuals participating in transactions on the Miaket Application must be transparent and accurate. The parties are solely responsible for the information they post on the Miaket App and the accompanying legal consequences.

2.3. Products and services participating in transactions on Miaket Application must fully meet the provisions of relevant laws, not fall under the cases of business ban, advertising ban as prescribed by law.

2.4. The purchase, sale and transaction of goods and services on the Miaket Application must be done openly and transparently, ensuring the interests of consumers.

2.5. All contents of this Regulation must comply with the current legal system of Vietnam. Subjects participating in the Miaket Application must learn by themselves their legal rights, responsibilities and obligations with respect to the goods provided by them and/or related parties in accordance with the provisions of the Vietnamese legal system. , commit to strictly comply with the contents of the Operation Regulations of the Miaket Application and other relevant documents displayed at the Miaket Application.

 III. Transaction Process
3.1. Process for Buyers
When wishing to purchase goods or use services on the Miaket Application, Buyers should follow the following steps:

Step 1: Install Miaket App;

Step 2: Sign up for an account or you can log in with your Facebook;

Step 3: Select "Home" to search for items according to Buyer's needs, or select "Near me" to search for stalls specializing in providing products and services suitable to Buyer's needs. Buying.

Step 4: Select the product or service that Buyer is interested in to view detailed information of that product or service.

Step 5: Select "Send Message" and negotiate with the Seller on the price, delivery time, support policy, and other relevant information about products and services.

3.2. Process for Sellers
a. Process for Sellers to create Store Profiles

After being approved as a member on the Miaket Application, if there is a need, the Seller can register to set up a Store profile that specializes in exchanging, buying and selling a specific product or service. Seller needs to take the following steps:

Step 1: Install Miaket App;

Step 2: Sign up for an account or you can log in with your Facebook;

Step 3: Register the Store according to the instructions in the "Personal" section

Step 4: The Seller fills in information about the Store (address, phone number, email, ...), and information related to products and services.

Step 5: Seller presses “Create Store” button

Step 6: Seller creates a post in the Store

b. Usual Seller Process:

All Members when registering on the Miaket Application can post their goods and products information on the "Home" section to exchange, buy and sell with Buyers. To post a sale, the Seller needs to perform the following steps:

Step 1: Install Miaket App;

Step 2: Sign up for an account or you can log in with your Facebook;

Step 3: Select “Home” and select “Create Post”

Step 4: The Seller fills in the product information (detailed product description, images, price and contact information of the Seller) according to the "Type of News", "Category" ... that the Seller wants to post. and click the “Continue” button.

Step 4: After creating the classified ad, the Seller will select “Post for sale”

The application management board will conduct censorship of the posted content according to the provisions of section “VIII. Bad information management”. Any news that violates the posting regulations will be hidden and respond to correction requests via email to members. When the member corrects the post in accordance with the regulations, the new Miaket Application administration board will display it on the application.

3.3. Shipping policy
a. At the Miaket App, the Buyer has the right to agree with the Seller on the delivery method (eg direct delivery, postal delivery, using other third parties) with the item he has ordered. Miaket application will be responsible for providing relevant information if there is a dispute during the transaction or delivery.

b. Miaket application requires Sellers when posting products for sale to provide full information about shipping and payment policies.

c. Buyers should carefully read the Seller's shipping policies in each ad. Miaket App recommends Buyers read the comments section below each topic to know the Seller's level of trust.

3.4. Maintenance and warranty policy
a. The Seller is responsible for providing all information related to the warranty (if any) including but not limited to the time, conditions, and scope of the product when posting for sale. When conducting a transaction, the Buyer needs to discuss the Seller's goods warranty policy (if any), and at the same time ask the Seller to provide the goods warranty (if any).

b. The Seller is responsible for receiving the warranty of products and services for the Buyer as in the product warranty paper commitment.

c. The Buyer has the right to complain and sue the Seller in the event that the Seller refuses to maintain the product while it is still within the warranty period stated on the warranty paper.

d. Miaket App will not be primarily responsible for the warranty of any product. Only support in the ability to allow Customer's products to be warranted according to the commitment content posted by the Partner

3.5. Return policy
a. Miaket application is not a Seller of products and services, so the return of products and services will be done according to the policy of each Seller.

b. The Miaket application requires the Seller when posting a product advertisement to provide full information about the return policy.

c. Miaket application recommends that Buyers must read the information carefully, or call Buyer directly to find out how to return the goods before deciding to buy.

d. Miaket App assists Buyers in terms of return and exchange of goods.

3.6. Complaint handling support process
a. When a dispute arises, the Company encourages negotiation and mediation between the parties. A member can carry out the procedure to make a complaint with the Company according to the following steps:

Step 1: Members complain via email: admin@miaket.com or send to the address: Lot C2, Yen Hoa New Urban Area, Yen Hoa, Cau Giay, Hanoi

Step 2: The Miaket Application's Customer Care Department will receive the member's complaints, depending on the nature and extent of the complaint, the Company will take specific measures to support the Member to resolve. that complaint.

Step 3: In the case that is beyond the capacity and authority of Miaket Application, the administrator will request the Member to bring this case to the competent state agency for resolution according to the law.

b. Regulations on complaints, warnings and disputes

Complaint requests handled by the Miaket App should meet the following requirements:

The claim request must be related to the Miaket Application Member's post;
Claim request must have specific evidence including but not limited to the complainant's account on Miaket App, relevant evidence link.
Complaint requests must not contain offensive language, profanity, or threats.
The parties including the Seller, the Buyer will have to play a responsible role in actively resolving the issue, including the responsibility to provide documents to certify information related to the dispute or conflict. Miaket application has the right and responsibility to provide information related to the dispute if the Buyer or Seller (in connection with such dispute) requests.

c. After the Seller and Buyer have resolved the dispute, they are responsible for reporting back to the seller to administer the Miaket Application. In case the transaction arises in conflict and the fault belongs to the Seller: Miaket application will take measures to warn, lock the account or transfer to the competent legal authority depending on the severity of the violation. Miaket Application will terminate and remove all articles of Seller's products and services on Miaket Application and request Seller to adequately reimburse customers on the basis of agreement with customers.

If through an agreement, it is still not possible to resolve the conflict arising from the transaction between the Buyer and the Seller, then one of the Buyer and the Seller will have the right to refer to a competent legal authority. authority to intervene to ensure the legitimate interests of the parties, especially for customers.

IV. Payment Process
Buyers and Sellers can refer to the following payment methods and choose to apply the appropriate method:

4.1. Option 1: Direct payment:

Step 1: Buyers find out information about products and services posted;

Step 3: Buyer pays and receives goods.

4.2. Option 2: Pay later (COD – delivery and collection: This method is recommended by Miaket management):

Step 1: Buyers find out information about products and services posted;

Step 2: Buyer authenticates the order (phone, message, email);

Step 3: Seller confirms Buyer information;

Step 4: The seller ships the goods;

Step 5: Buyer receives goods and pays.

4.3. Option 3: Pay online via credit card, transfer

Step 1: Buyers find out information about products and services posted;

Step 2: Buyer authenticates the order (phone, message, email);

Step 3: Seller confirms Buyer information;

Step 4: Buyer pays;

Step 5: The seller ships the goods;

Step 6: Buyer receives goods.

At Option 3, Buyer and Seller can agree to use the Miaket App Deposit service.

V. Ensure transaction safety
5.1. Seller must provide complete information (name, address, phone number, email) on each classified ad.

5.2. Buyer should not give payment details to anyone by email or other form of communication, Miaket App is not responsible for any damage or risk members may incur in exchange information of the Buyer via the Internet or email.

5.3. It is not advisable to pay in advance to the Seller that the Buyer has not transacted before.

5.4. The Buyer consults the Seller's information, the quality of the goods by contacting the Seller in advance.

5.5. Buyer absolutely does not use any program, tool or other form to interfere with the system or change the data structure. It is strictly forbidden to distribute, propagate or promote any activities aimed at interfering, sabotaging or invading the application system. All violations will be handled according to the Regulations and provisions of law.

5.6. All transaction information is kept confidential, except when required to be provided by law enforcement agencies.

6.1. Purpose and scope of collection

The main data collection on Miaket App includes: email, phone, username, login password, address. 6.2. Scope of information use

The Miaket app uses the member information provided to:

Provide services to Members;
Send notices about information exchange activities between members and Miaket Application;
Prevent activities that destroy a member's user account or activities that impersonate a Member;
Contact and deal with members in special cases;
Do not use members' personal information other than for confirmation and contact purposes related to transactions at Miaket App;
In case of legal requirements: Miaket Application is responsible for cooperating in providing member's personal information upon request from judicial authorities including: Procuracy, court, police agency. investigation related to certain legal violations of customers. In addition, no one has the right to infringe on members' personal information.
6.3. Information storage time

The Member's personal data will be stored until the request to cancel or the member to log in and perform the cancellation. Remaining in all cases member personal information will be kept confidential on the server of Miaket Application.

6.4. Means and tools for users to access and correct their personal data

a. Members have the right to self-check, update, correct or cancel their personal information by logging into their account and correcting personal information or requesting Miaket App to do so.

b. Members have the right to submit a complaint about the disclosure of personal information to a third party to the Administration of Miaket Application. When receiving these feedbacks, the Miaket Application will confirm the information, be responsible for answering the reason and guide the member to restore and secure the information.

6.5. Commitment to protecting customer's personal information

a. Members' personal information on Miaket Application is committed to absolute confidentiality in accordance with Miaket Application's personal information protection policy. The collection and use of information of each member is only done with the consent of that customer, unless otherwise provided for by law.

b. Do not use, do not transfer, provide or disclose to any third party members' personal information without the consent of the member.

c. In the event that the information storage server is attacked by a hacker leading to the loss of member's personal data, Miaket Application will be responsible for notifying the incident to the investigating authorities for timely handling and notice to members are known.

d. Absolutely secure all online transaction information of Members including invoice information, accounting and digital documents in the secure central data area level 1 of Miaket Application.

e. Miaket Application Management Board requires individuals when registering / purchasing as a member, to provide all relevant personal information such as: Full name, contact address, email, personal identification number population, phone, account number, payment card number ...., and is responsible for the legality of the above information. Miaket Application Management is not responsible for and will not resolve any complaints related to the rights of that Member if it considers that all personal information of that member provided during initial registration is not exactly.

VII. Protecting the interests of consumers
7.1. Application management requires individuals, when registering as a member, to provide all relevant personal information such as: Full name, contact address, email, phone, .., and bear the responsibility. responsibility for the legality of the above information. Miaket Application Management is not responsible for and will not settle any claims related to the interests of such Buyer if it considers all personal information of such Buyer provided during initial registration to be invalid. exactly.

7.2. The Buyer has the right to send direct complaints and claims to the relevant Seller in the event that the products and services provided by the Seller are not of the same quality as the published information.

7.3. Miaket application always ensures to arbitrate claims for Buyers from Sellers providing products and services to ensure the legitimate interests of consumers in cases related to transaction conflicts that affect to Buyer's interests.

VIII. Bad information management
8.1. Membership Rules

a. Members will be solely responsible for the security and keeping all activities of using the service under their registered name and password. The member is responsible for promptly notifying the Miaket App of the unauthorized use, abuse, breach of security, retention of the registration name and password of the third party for remedial action. Fit.

b. Members shall not use the services of the Miaket Application for illegal, unreasonable, fraudulent, threatening, illegal information exploration, sabotage, creation and distribution of viruses that cause damage to system, configuration, transmission of information of the Miaket Application or use of its services for the purpose of speculation, manipulating the market to create orders, fake offers, including serving to judge demand market demand. In case of violations, members must be responsible for their actions before the law.

c. Members may not change, modify, assign, copy, transmit, distribute, provide and create similar tools of the service provided by the Miaket Application to a third party without the consent. of the Miaket Application in this Regulation.

d. Members must not act to discredit the Miaket Application in any form such as causing disunity among members by using a second registered name, through a third party or propagating and disseminating information. news that is not conducive to the reputation of the Miaket App.

8.2 . Post rules

d. Do not use images containing links, websites, store names, phone numbers, etc.

e. Do not use images that are blurred, tilted, or out of alignment.

f. Do not use images with models wearing underwear or swimwear.

·       Title request

a. Need to show detailed item information including product name (with model, if any), condition and additional information. For example: iPhone X 128gb like new with warranty.

b. Do not include contact information such as website, phone number, address, etc.

·       Post content requirements

a. It is necessary to show all necessary information about the product so that the customer can make a purchase decision.

8.2.5. Ask for the price

a. The selling price must be listed in Vietnam Dong (VND).

b. The selling price must be reasonable for sales purposes.

c. Do not put the price for the purpose of attracting Customers, post any price that sells it.

d. If the Company receives a response that the Partner sells for more than the advertised price, the Company will reject the post and consider a warning about the Client's behavior.

8.3. Prohibited products list and conditional trading at Miaket . App

a. List of products banned from trading:

Wine of all kinds;
Cigarettes, cigars and other forms of finished tobacco;
Firecrackers and explosives;
Narcotic substances;
Cellular cell communication jammers;
Outdoor lights;
Military weapons, equipment, techniques, weapons, special-use military vehicles, police and military equipment;
Dangerous toys, toys harmful to children's personality and health education or to security, order, culture and society (including video game programs);
Cultural products that are reactionary, depraved, superstitious or harmful to aesthetic and personality education;
Relics, antiquities and national treasures belonging to historical, cultural relics and scenic spots, owned by the entire people, owned by political organizations, socio-political organizations;
Toxic chemicals;
Precursors;
Cigarettes, cigars and other forms of finished tobacco products smuggled;
Wild plants and animals;
Fisheries banned from exploitation, aquatic products with residues of toxic substances exceeding the allowable limits, aquatic products with natural toxic elements that are dangerous to human life;
Medicines for human treatment, vaccines, medical biological products, cosmetics, insecticidal and germicidal chemicals and preparations in the household and medical fields have not been used in Vietnam;

Ads that offend the prestige, honor and dignity of organizations and individuals.
Advertisements using images, words, or writings of an individual without the individual's consent, unless otherwise permitted by law.
Incorrect or misleading advertisement about the business ability, the ability to provide products, goods and services of organizations and individuals trading in products, goods and services; on quantity, quality, price, utility, design, packaging, trademark, origin, type, service method, warranty period of registered or registered products, goods and services to be announced.
Advertise by using the method of direct comparison of prices, quality, and efficiency in using their products, goods and services with prices, quality, and efficiency in using products and goods. services of the same type of other organizations or individuals.
Ads with unfair competition content in accordance with the law on competition.
Advertisements violate intellectual property laws.
8.5. Mechanism for reviewing and controlling information about products/services of the Management Board for products/services posted on the Application

After a customer posts a product for sale, that post will be displayed immediately. However, the Miaket App content management editorial department will closely monitor, control and review it daily. Other Miaket App Members also have the right and obligation to report inappropriate posts to Miaket App through the “Report” function.

Miaket application will have the right to remove the customer's advertisement for sale if the advertisement violates the posting regulations. Posts that do not match the specified category will be deleted or Miaket App will move to another category it deems appropriate.

Miaket application reserves the right to decide whether to keep or remove information posted on this website without prior notice.

IX. Liability in case of technical errors
Miaket application is committed to making efforts to ensure the safety and stability of the entire engineering system. However, in the event of a problem caused by the Miaket App's fault, the Miaket App will immediately take measures to ensure the Buyer's interests.

Miaket Application Management is committed to providing the best quality of service to members participating in transactions. In case there is a technical error, software error or other objective errors leading to the member not being able to participate in the transaction, the member shall notify the Miaket Application Management Board via email admin@miaket.com for assistance.

X. Rights and obligations of Miaket . Application Management Board
10.1. Miaket . App Management Permissions

a. Miaket Application will proceed to provide services to participating members after completing the required procedures and conditions set forth by Miaket App.

b. In case there is a basis to prove that the member providing information for Miaket Application is incorrect, misleading, incomplete or violates the law or fine customs of Vietnam, Miaket Application has the right to refuse, suspend or terminate the member's right to use the service.

c. Miaket application may terminate the member's membership and right to use one or all services and will notify the member within at least one (01) month in case the member violates the terms and conditions. The Miaket App's policies or practices that affect business operations on the Miaket App.

d. Miaket Application will consider terminating the member's right to use the service and membership if the member does not participate in transaction and information exchange activities on the Miaket App continuously for three (03) months. If you want to continue to become a member and be re-granted the right to use the service, you must re-register from the beginning according to the form and procedure of the Miaket App.

e. Miaket Application may immediately terminate a member's right to use the service and membership if Miaket App discovers that a member has gone bankrupt, convicted or is serving a sentence, engaged in fraudulent activities, counterfeiting, causing market disturbance, causing disunity for other members of Miaket Application, activities that violate the current laws of Vietnam.

f. In the event of termination of membership and service use rights, all certificates and rights granted by members will automatically expire and be terminated.

g. Miaket Application holds the copyright to use services and content on Miaket App in accordance with the legal provisions on intellectual property protection in Vietnam. All icons, content in different languages are owned by Miaket App. Any illegal copying, use and dissemination of the above property rights is strictly prohibited.

H. Miaket Application reserves the right to change the service table, price list and payment method during the period of providing services to members according to the needs and conditions of Miaket App and will notify the member in advance. is one (01) month.

10. 2. Duties and responsibilities of Miaket . Application Management Board

a. Miaket application is responsible for building and implementing an inspection and monitoring mechanism to ensure that the Seller's information supply on the e-commerce trading floor is fully accurate and in accordance with the law.

b. Miaket application is responsible for building a trading platform including a number of main tasks such as: research, design, procurement of hardware and software equipment, Internet connection, policy development for operations. Miaket Application under the conditions and to the extent permitted. Miaket Application will deploy and cooperate with partners in building a system of services and utility tools for the transaction of participating members and users on Miaket Application. .

c. Miaket application is responsible for acting as a mediator in the event of a dispute between Buyer and Seller. The application will receive feedback and complaints from Buyers and check the content of such reflections and complaints. If it deems that the feedback is correct, the Application will require the Seller to explain about such information. Depending on the level of violation, Miaket Application will have a solution to ask the Seller to compensate the Buyer, which will lock the Seller member account.

d. Miaket application is responsible for removing information on selling goods and services on the list of goods and services banned from business and goods restricted from business in accordance with the law; Remove information on selling fake goods, imitation goods, smuggled goods, goods infringing intellectual property rights.

e. Miaket application is responsible for building and supplementing a system of knowledge and information about: foreign trade operations, e-commerce, domestic and international commercial legal documents, foreign markets, as well as news related to the operation of the Miaket App.

f. Miaket Application will conduct promotional activities, promote Miaket Application to foreign markets within the scope and conditions allowed, contributing to the expansion and connection to meet the needs of finding customers and developing overseas markets of members participating in the Miaket App.

g. Miaket Application will try to the best extent and condition possible to maintain the normal operation of Miaket Application and fix problems such as: technical problems of machines, software errors, systems Internet connection system, personnel, social changes, natural disasters, power outages, decisions of state agencies or a related third party. However, if the above incidents occur beyond our control, are force majeure circumstances that cause damage to members, the Miaket Application is not jointly responsible.

XI. Miaket . App Membership Rights and Responsibilities
11.1. Miaket . App Member Permissions

a. Members will be provided with a unique username and password to use in managing transactions at Miaket App through Miaket App page or posting classifieds, posting products, posting promotions. on the Miaket App.

b. Members will be guided by staff of Miaket Application to use tools and features for purchasing or posting classifieds and using utility services on Miaket Application.

c. Members have the right to contribute ideas to the Miaket Application during its operation. Petitions are sent directly by mail, fax or email to the Miaket App.

d. Members are entitled to comment truthfully about the Seller's products and services.

11.2. Miaket . App Member Obligations

a. Members will be solely responsible for the security and storage and all activities of using the service under their registered name, password and email box.

b. Members are responsible for promptly notifying Miaket Application of unauthorized use, abuse, breach of security, keeping their registered name and password for the two parties to cooperate in handling.

c. The member undertakes that the information provided to the Miaket App and the information posted to the Miaket App is accurate.

d. Members are solely responsible for the content, images and other information as well as the entire transaction process with partners on the Miaket Application.

e. Buyer and Seller members are responsible for providing information about transactions and goods to support Miaket Application in resolving disputes arising between Buyers and Sellers taking place through the Application.

f. The Seller Member is responsible for indemnifying the Buyer if it proves that the fault lies with the Seller.

g. The member commits and agrees not to use the services of the Miaket Application for illegal, unreasonable, fraudulent, threatening, illegal information exploration, destruction, creation and distribution purposes. viruses that damage the system, configuration, transmission of information of the Miaket Application or use its services for the purpose of speculation, market manipulation to create fake orders, offers, including serving for assessing market demand. In case of violations, members must be responsible for their actions before the law.

H. Members undertake not to change, modify, copy, transmit, distribute, provide and create similar tools of the service provided by Miaket Application to a third party without consent. of the Miaket Application in these Regulations.

i. Members must not act to discredit the Miaket Application in any form such as causing disunity among members by using a second registered name, through a third party or propagating, disseminating information that is not conducive to the reputation of the Miaket App.

XII. Terms apply
The Miaket Application Regulations officially take effect from the date of signing the Decision issued together with this Regulation. Miaket Application has the right and can change this Policy by notifying Miaket App to members. The revised Regulation takes effect from the effective date of the Decision on Amending Regulations. The member's continued use of the service after the revised Regulations are published and enforced means that the member has accepted this revised Regulation.

Miaket application updates continuously without prior notice. Members participating in the Miaket Application are responsible for complying with the current regulations when transacting on the application.

XIII. Terms of commitment
All members and partners/Sellers when using the Miaket Application as an online purchase and sale transaction, it means that the relevant parties have agreed to abide by this regulation.
